These Terms of Service ("Terms") govern your use of the HANUMAN MAHANAKHON CO., LTD. website at hanumanseafood.com and your business relationship with Hanuman Seafood ("we," "us," or "our"). By accessing our website or engaging in commercial transactions with us, you agree to be bound by these Terms.

Acceptance of Terms

By accessing or using our website, submitting inquiries, or placing orders, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree with these Terms, please do not use our website or services.

Products and Services

Hanuman Seafood is a business-to-business (B2B) seafood exporter and processor. Our products and services are intended for commercial buyers including importers, distributors, wholesalers, food service operators, and retailers.

• Product images, descriptions, and specifications on our website are for reference purposes. Actual products may vary in appearance, sizing, and packaging based on production batch and agreed specifications.
• Product availability is subject to seasonal supply, harvest conditions, and processing capacity. We reserve the right to modify or discontinue any product without prior notice.
• Detailed product specifications, certifications, and test reports are provided upon request and as part of the order confirmation process.

Pricing and Payment

• All prices are quoted in USD unless otherwise agreed in writing. Prices are subject to change based on market conditions, raw material costs, and exchange rate fluctuations.
• Quotations are valid for the period specified in the proforma invoice. Prices are confirmed only upon issuance of a sales contract or order confirmation.
• Payment terms are agreed upon per transaction and may include T/T (Telegraphic Transfer), L/C (Letter of Credit), or D/P (Documents Against Payment). Specific terms depend on order value, product type, and buyer history.
• Late payments may incur interest charges as specified in the sales contract. We reserve the right to suspend shipments for overdue accounts.

Shipping and Delivery

• Shipping terms (FOB, CIF, CFR, EXW) are specified in each sales contract. Risk of loss transfers to the buyer according to the agreed Incoterms.
• Estimated delivery times are provided in good faith but are not guaranteed. Delays caused by port congestion, customs clearance, weather, or other force majeure events are beyond our control.
• All shipments are made in refrigerated (reefer) containers maintained at -18°C or below. Temperature logs are available upon request.
• The buyer is responsible for obtaining all necessary import permits, licenses, and customs clearances at the destination country.

Quality and Specifications

We are committed to delivering products that meet the specifications agreed in each sales contract.

• All products are processed in HACCP, BRC, and GMP certified facilities. Additional certifications (Halal, MSC, ASC, EU approval) are available for applicable product lines.
• Each shipment is accompanied by a Certificate of Analysis (COA), health certificate, and other export documentation as required by the destination country.
• Product specifications including species, size grade, glazing percentage, net weight, and packaging are confirmed in the sales contract and must be verified by the buyer upon receipt.

Claims and Returns

• Claims regarding product quality, quantity, or condition must be submitted in writing within 7 days of receipt at the destination port, accompanied by photographic evidence and, where applicable, an independent inspection report.
• Claims will not be accepted for damage caused by improper handling, storage, or cold chain disruption after the risk has transferred to the buyer under the agreed Incoterms.
• Resolution of valid claims may include replacement product, credit toward future orders, or partial refund, at our discretion and subject to investigation findings.
• Returns of perishable seafood products are generally not feasible due to food safety regulations. Disposition of claimed goods will be agreed upon between both parties.

Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total liability for any claim arising from a transaction shall not exceed the invoice value of the specific shipment in question.
• We shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, business interruption, or loss of data.
• We are not liable for delays, failures, or damages resulting from force majeure events including but not limited to natural disasters, pandemics, government actions, trade embargoes, port closures, or supply chain disruptions.
• The information on our website is provided "as is" without warranties of any kind. We do not warrant that the website will be uninterrupted or error-free.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict of law principles. Any disputes arising from or related to these Terms or our business transactions that cannot be resolved through good-faith negotiation shall be submitted to arbitration under the rules of the Thai Arbitration Institute (TAI). The place of arbitration shall be Bangkok, Thailand, and proceedings shall be conducted in English.
